These Terms of Service ("Terms") govern your access to and use of the SnellIoT platform, website, and related services provided by Snellcart Online Services Private Limited ("SnellIoT", "Company", "we", or "us"). By accessing or using our Services, you agree to be bound by these Terms.
Access to the SnellIoT platform is subject to a separate Service Agreement or Subscription Agreement signed between SnellIoT and the Customer. These Terms operate in conjunction with that agreement. In the event of any conflict, the Service Agreement shall take precedence.
Subject to these Terms and timely payment of applicable fees, SnellIoT grants the Customer a limited, non-exclusive, non-transferable license to access and use the Services for the Customer's internal business operations during the subscription term.

Where SnellIoT provides hardware (sensors, edge gateways), such hardware may be provided on a lease or purchase basis as specified in the Service Agreement. The Customer is responsible for reasonable care of installed hardware. Damage caused by misuse, negligence, or unauthorized modification is the Customer's liability.
The Customer retains ownership of all Machine Data generated from their equipment. SnellIoT is granted a limited license to process, analyze, and use Machine Data solely to provide the Services, improve the platform, and train AI models (using anonymized, aggregated data only). SnellIoT will not sell or disclose identifiable Machine Data to third parties without the Customer's consent, except as required by law.
SnellIoT targets 99.9% platform uptime (excluding scheduled maintenance). Support response times are as follows:
Business hours are 9:00 AM – 6:00 PM IST, Monday to Saturday.
Subscription fees are as specified in the Service Agreement. Invoices are raised monthly or annually as agreed. Payment is due within 15 days of invoice date. Late payments may attract interest at 18% per annum. SnellIoT reserves the right to suspend Services after 30 days of non-payment following written notice.
SnellIoT's Services are advisory in nature. Machine health scores, predictive alerts, and maintenance recommendations are based on sensor data and AI analysis — they are not a guarantee of machine condition or failure timing. The Customer's qualified maintenance engineers must evaluate all alerts and recommendations before taking action.
To the maximum extent permitted by applicable law, SnellIoT's total liability to the Customer for any claim arising out of or related to these Terms or the Services shall not exceed the total fees paid by the Customer in the 3 months preceding the claim. SnellIoT shall not be liable for indirect, incidental, consequential, or special damages.
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the service relationship, and not to disclose such information to third parties without prior written consent, except as required by law.
The service term is as specified in the Service Agreement. Either party may terminate for material breach with 30 days written notice if the breach is not cured within that period. Upon termination, the Customer's access to the platform will be deactivated, and Machine Data will be made available for export for 30 days before deletion.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chandigarh, Punjab, India. The parties agree to attempt resolution through good-faith negotiation before initiating legal proceedings.
SnellIoT may update these Terms from time to time. Customers will be notified of material changes with 30 days' advance notice by email. Continued use of the Services after the effective date of changes constitutes acceptance.
